Terms of Service
General terms governing NorthQuest websites, client portal, and services.
1. Scope
These Terms govern use of NorthQuest websites, client portal, and services except where an applicable written service agreement states otherwise. Client-specific scope, commercial terms, deliverables, timelines, and termination provisions are governed by the applicable agreement or order between NorthQuest and the client.
2. Services
NorthQuest provides managed B2B outbound services. Depending on the engagement, services may include ideal customer profile research, prospect sourcing, data enrichment and verification, messaging and copywriting, email infrastructure and deliverability work, campaign setup and management, qualification, reply handling, testing, and reporting.
3. Performance and Outcomes
NorthQuest will perform the services using reasonable professional care but does not guarantee revenue, closed deals, response rates, deliverability, meetings, or any other specific business result except where a particular commitment is expressly stated in a written agreement. Campaign performance depends on factors including market conditions, the client's offer, targeting, prospect behavior, infrastructure, and third-party platforms.
4. Client Responsibilities
Clients must provide accurate and timely information concerning their company, services, target market, positioning, exclusions, qualification criteria, and sales process. Clients are responsible for the legality and accuracy of their offers, claims, products, services, websites, and subsequent sales activity, and for responding to qualified opportunities as appropriate.
5. Onboarding, Approvals, and Cooperation
NorthQuest may require onboarding information, access, approvals, or other reasonable cooperation before or during an engagement. Delays, incomplete information, changes in direction, or unavailable client resources may affect setup, campaign timing, and performance.
6. Client Portal and Accounts
NorthQuest may provide access to a private client portal for onboarding, reporting, workspace administration, or related service functions. Users are responsible for safeguarding their account access and may use the portal only for authorized business purposes. NorthQuest may restrict or suspend access when reasonably necessary for security, legal, or operational reasons.
7. Third-Party Tools and Infrastructure
NorthQuest may use third-party providers for research, enrichment, databases, authentication, email infrastructure and delivery, campaign management, analytics, payments, scheduling, hosting, and related operations. Third-party availability, policies, limitations, or changes may affect the services. Unless otherwise agreed in writing, NorthQuest retains ownership of its internal systems, processes, methods, and proprietary materials.
8. Outreach, Compliance, and Deliverability
NorthQuest uses reasonable B2B outreach and deliverability practices and honors applicable opt-out requests. Outbound communications involve inherent risks including filtering, reputation changes, account restrictions, provider actions, and changing legal or platform requirements. Clients remain responsible for compliance matters relating specifically to their business, offer, claims, and sales practices.
9. Fees, Payment, and Termination
Fees, billing schedules, payment obligations, service periods, cancellation rights, notice requirements, refunds, and other commercial terms are governed by the applicable service agreement, order, invoice, or other written arrangement. Amounts already earned or incurred remain payable as provided in that arrangement.
10. Confidentiality and Data
Each party should protect confidential information received through the engagement and use it only for appropriate business purposes. NorthQuest's handling of personal information is also governed by the NorthQuest Privacy Policy and any additional data terms agreed with a client.
11. Intellectual Property
Each party retains ownership of materials, intellectual property, and confidential know-how it owned before the engagement. Unless otherwise agreed in writing, NorthQuest retains ownership of its reusable systems, workflows, processes, templates, software, methods, and general know-how, while clients retain ownership of their underlying business materials and data.
12. Limitation of Liability
To the fullest extent permitted by applicable law, NorthQuest will not be liable for indirect, incidental, consequential, special, exemplary, or lost-profit damages arising from the services, website, portal, or third-party platforms. Any additional liability limitations or remedies stated in an applicable service agreement will govern that engagement.
13. Independent Contractor
NorthQuest provides services as an independent contractor. Nothing in these Terms creates an employment, partnership, joint venture, fiduciary, or agency relationship between NorthQuest and a client or website user.
14. Changes
NorthQuest may update these Terms to reflect changes to its website, portal, services, or legal obligations. Updates to these public Terms do not retroactively replace contrary client-specific terms in an existing written agreement unless the parties agree otherwise.
