Terms of Service

Terms governing NorthQuest outbound services.

1. Scope of Service

NorthQuest provides outbound prospecting and cold email services for B2B companies. Services may include targeting, lead sourcing, domain and inbox setup, deliverability management, copywriting, campaign execution, testing, reporting, and reply management.

2. Service Outcome

NorthQuest works to generate qualified sales conversations. We do not guarantee revenue, closed deals, meetings booked, response rates, deliverability outcomes, or any specific business result unless explicitly agreed in writing.

3. Qualified Conversation Definition

A qualified conversation means a response from a contact that matches the agreed ideal customer profile and demonstrates genuine interest in a business discussion. Automatic responses, out-of-office replies, and rejections are not considered qualified conversations.

4. Pricing and Payment

Pricing, payment schedules, and service terms are agreed before the engagement begins. Invoices are due according to the terms outlined in the applicable agreement or invoice.

5. Client Responsibilities

Clients are responsible for providing accurate information regarding their business, offer, target market, and sales process. Clients are also responsible for handling sales conversations, proposals, and closing activities.

6. Tools and Infrastructure

NorthQuest may use third-party software and service providers for research, lead sourcing, email delivery, scheduling, analytics, and campaign management. Unless otherwise agreed in writing, NorthQuest retains ownership of its systems, infrastructure, processes, and proprietary methods.

7. Compliance

NorthQuest follows reasonable B2B outreach practices and honors unsubscribe requests where applicable. Clients remain responsible for the accuracy, legality, and compliance of their offers, claims, products, services, websites, and sales processes.

8. Deliverability and Platform Risk

Outbound email involves inherent risks including spam filtering, reputation changes, account limitations, and actions taken by third-party providers. While NorthQuest follows industry best practices, no deliverability outcome can be guaranteed.

9. Approvals

Clients may be required to approve messaging, targeting criteria, and campaign materials before launch. Delays in approval may affect timelines and performance.

10. Cancellation

Either party may terminate services according to the notice period outlined in the applicable agreement. Fees already incurred remain payable and are non-refundable unless otherwise agreed in writing.

11. Confidentiality

Both parties agree to protect confidential information and use such information only for purposes directly related to the engagement.

12. Limitation of Liability

To the fullest extent permitted by law, NorthQuest shall not be liable for indirect, incidental, consequential, special, or lost-profit damages. Total liability shall not exceed the amount paid to NorthQuest during the thirty days preceding the event giving rise to the claim.

13. Independent Contractor Relationship

NorthQuest operates as an independent contractor. Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship.

14. Updates

NorthQuest may update these Terms from time to time. The most current version will be posted on this page.
