General terms governing NorthQuest websites, client portal, and services.
These Terms govern use of NorthQuest websites, client portal, and services except where an applicable written service agreement states otherwise. Client-specific scope, commercial terms, deliverables, timelines, and termination provisions are governed by the applicable agreement or order between NorthQuest and the client.
NorthQuest provides managed B2B cold-email outreach for managed IT and cybersecurity service providers. Depending on the agreed scope, services may include defining target customers, researching companies and professional contacts, writing email sequences, managing sending and follow-ups, reviewing replies and reporting. The client handles sales calls, proposals, closing, and its IT or cybersecurity services.
NorthQuest performs the work stated in the applicable written agreement with reasonable professional care. NorthQuest does not guarantee message delivery, positive replies, meetings, new customers, revenue or other business outcomes. Results depend on market conditions, sender infrastructure, targeting, client cooperation and prospect responses.
Clients must supply accurate company and service information, approve targeting and messaging, and provide authorized sender-domain access and cooperation as agreed. Clients must meet applicable marketing, privacy and anti-spam requirements and handle sales conversations and interested prospects passed to them. Specific responsibilities are agreed in writing.
NorthQuest may require onboarding details, sender configuration and campaign approvals before outreach. An AI fit check collects preliminary details. Eligible visitors may request the configured service agreement after reviewing their intake summary and monthly fee. BreezeDoc directs the client to Stripe after signing. After verification of the client's signature and successful first payment, NorthQuest provides portal access for onboarding; NorthQuest countersigns separately before campaign work begins. Portal access and onboarding do not change the agreement's service-start conditions or authorize campaign sending. Missing information, delayed approvals and changes in direction may affect campaign timing.
The NorthQuest AI assistant and website provide general information, preliminary fit checks and intake collection and delivery of the configured agreement after an eligible visitor requests it. Human requests and operational failures may be passed to NorthQuest's internal Slack channel, as explained in the Privacy Policy. Their output may be incomplete or imperfect and does not create or modify a service commitment, guarantee, or client relationship. Website chat conversations close 24 hours after the last message; a visit after closure starts a new conversation. Closure does not erase NorthQuest's business records, as explained in the Privacy Policy. A client engagement and its binding commercial terms are established only through the applicable written agreement or order.
NorthQuest may provide individual client accounts for onboarding, reporting, and workspace administration. Users must safeguard their passwords and authentication codes. Client administrators are responsible for inviting authorized teammates and maintaining appropriate access. Portal actions do not amend fees, liability, or termination terms. Existing private workspace links may remain available during transition; recipients must not forward them to unauthorized people and must report exposure promptly. All users may use the portal only for authorized business purposes. NorthQuest may restrict or suspend access when reasonably necessary for security, legal, or operational reasons.
NorthQuest may use third-party providers for research, enrichment, databases, authentication, campaign operations, integrations, analytics, payments, hosting, and related operations. Third-party availability, policies, limitations, or changes may affect the services. Unless otherwise agreed in writing, NorthQuest retains ownership of its internal systems, processes, methods, and proprietary materials.
Campaign preparation and launch are subject to the agreed scope, applicable law, client approvals and available sending infrastructure. Material changes, new integrations and third-party purchases require client authorization. Opt-outs and suppression requests are handled under applicable law and the agreed division of responsibilities. Clients remain responsible for their own business operations and sales process.
NorthQuest confirms the scope, fees, currency, payment schedule, and start conditions in a written agreement before service begins. No website or AI assistant interaction alone creates a paid engagement. Software subscriptions, sender infrastructure and third-party costs are included only if expressly agreed. Termination, cancellation, refunds and other commercial terms follow the written agreement and applicable law.
Each party should protect confidential information received through the engagement and use it only for appropriate business purposes. NorthQuest's handling of personal information is also governed by the NorthQuest Privacy Policy and any additional data terms agreed with a client.
Each party retains ownership of materials, intellectual property, and confidential know-how it owned before the engagement. Unless otherwise agreed in writing, NorthQuest retains ownership of its reusable systems, workflows, processes, templates, software, methods, and general know-how, while clients retain ownership of their underlying business materials and data.
To the fullest extent permitted by applicable law, NorthQuest will not be liable for indirect, incidental, consequential, special, exemplary, or lost-profit damages arising from the services, website, portal, or third-party platforms. Any additional liability limitations or remedies stated in an applicable service agreement will govern that engagement.
NorthQuest provides services as an independent contractor. Nothing in these Terms creates an employment, partnership, joint venture, fiduciary, or agency relationship between NorthQuest and a client or website user.
Unless an applicable written agreement states otherwise, these Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles. Any mandatory rights that cannot lawfully be excluded remain unaffected.
NorthQuest may update these Terms to reflect changes to its website, portal, services, or legal obligations. Updates to these public Terms do not retroactively replace contrary client-specific terms in an existing written agreement unless the parties agree otherwise.
